Founder

Nick Sposa background: A former buy side analyst who's worked across several South Florida-based hedge funds. These funds ranged in AUM of between $40M-$500M at their peak, emphasizing a concentrated approach to value investing and shareholder activism. Mr. Sposa has spent most of his career as a generalist, where he invested tens of millions of LP dollars across industries such as: consumer, transportation, retail, logistics, restaurant, and internet stocks. Additionally, he has worked alongside boards to propose and implement proper capital allocation strategies within the C-suite of small-cap, publicly listed companies, as well as investing alongside owner-operators to participate in significant value realization. Outside of public equities, he has led the disposition of a $20M Florida-based distressed real estate portfolio, $8M of New Jersey commercial real estate, and is currently in the latter rounds of facilitating the nine figure sale of a dominant, privately held nutraceuticals business. He resides in South Florida with his wife Ava, two cats, with a baby on the way.

Scott Mager is a renowned trial lawyer and deal maker, who is licensed in multiple States.  He has handled large cases around the country and been involved in numerous deal (mergers, acquisitions, strategic alliances, etc.). His last big deal was with a Fortune 100 company that involved taking a company to a nine-figure valuation as a result of Scott’s negotiations to make the deal happen.  He has advised CEOs and other C-level personnel on a litany of business and risk management topics, and litigated some of the biggest cases around.  And, as a litigator, he has worked for billion-dollar companies that honored him with the Litigator of the Year award, given to only one person.  As a philanthropist, he has also contributed greatly in time and money to his community, and been honored numerous times, including with the NFL Community Quarterback Award.

Approach

We assist with lower-middle to middle market transactions, with revenues of $10M-$250M and $3M or greater of EBITDA. More broadly than strict financial criteria or industries, we focus on good opportunities where we can add value. Industries we’ve worked with include: industrials, real estate, disinfectants, logistics, HVAC, nutraceuticals, energy drink, and consumer businesses across different stages of their lifecycle.

Location: Headquartered in North America

Industries: Industry agnostic, but prefers organizations not reliant on a commodity, or recent trends

Ownership: Usually closely held by a family or small group of operating shareholders

Transaction types: 

    • Legacy Buyout- Seeking to transition ownership (100% sale) with minimal disruption to the team, culture, customers, and community.
    • Growth partnership- Seeking a partner and partial liquidity (typically rolling 25-49%), but plan to stay actively involved and aim to grow the business.
    • Legacy Transition- Contemplating personal exit within the next 2-7 years, and seeking to transition majority ownership (initially rolling 10-30%) with minimal disruption to the team, culture, customers, and community.
    • Other- Minority Investments, Corporate divestiture, and Corporate carve out transactions
